OFFICIAL RULES

NO PURCHASE OR PAYMENT NECESSARY TO ENTER OR WIN. A PURCHASE OR PAYMENT WILL NOT INCREASE YOUR CHANCES OF WINNING.

When you submit an entry for this Contest, you agree with these Official Rules. The Sponsors of this The Great Beyond: Small Flexes contest (the “Contest”) is PH Canada Company and Beyond Meat, Inc. (“Sponsors”). When you submit an entry for this Contest, you agree with these Official Contest Rules (the “Official Rules”).

Eligibility

The Contest is open to participants who, as of the date of the submission of their entry, are legal residents of Canada, excluding Quebec (the “Territory”), who are at least 16 years of age. The Contest is void outside of the Territory and where prohibited or restricted by law. Directors, officers, employees, contractors, agents and representatives of Sponsors, or of their respective parents, subsidiaries or affiliates, (collectively, the “Contest Entities”), along with the members of those individuals’ immediate families or households, are not eligible to participate in the Contest.

A participant that is under the age of majority in his or her province of residence that is at least 16 years of age before the commencement of the Contest Period (a “Minor”) may enter this Contest and provide information only with the explicit consent of his or her parent or legal guardian. Furthermore, the Official Rules shall apply to both the Minor and to the Minor’s parent or legal guardian. The Contest Sponsors reserve the right, in their sole and absolute discretion, to contact the parent or legal guardian of any eligible participant who is a Minor at any point during the Contest for the purposes of verifying such parent or legal guardian’s: (i) agreement to be legally bound by these Official Rules; (ii) consent to the Minor’s participation in the Contest; and (iii) consent to the collection of the Minor’s personal information in connection with the Contest. If the Minor refuses to provide his or her parent or legal guardian’s contact information at the request of the Contest Sponsors, then such Minor shall be disqualified from participating in the Contest, at the sole and absolute discretion of Sponsors. If a Minor is selected as a potential winner of a prize (as described below), the prize shall not be awarded to the Minor unless both the Minor and the Minor’s parent or legal guardian have signed and returned the Declaration and Release Form as described in these Official Rules. The prize will be delivered to the Minor’s parent or legal guardian.

Contest Period. 

Participants may enter the Contest from: Monday, January 10, 2022 at approximately 06:00 AM Eastern Time (“ET”) until Monday, January 24, 2022 at 11:59 PM ET (the “Contest Period”) by following the process below. Entries must be received through the below process during the Contest Period to be eligible.

 

 

Entry Process. 

  • Sign in to your Instagram Account. If you are not already a user, you must first complete a registration process. This process is free.
  • Visit the Pizza Hut Canada Instagram page (@pizzahutcanada). In the Comments, write about your small flexes and tag two (2) friends on The Great Beyond: Small Flexes Giveaway static Instagram post during the Contest Period for a chance to win a free The Great Beyond pizza. Each comment that contains two (2) tagged accounts constitutes one (1) entry. For up to two (2) additional entries, , share your flex on an Instagram post or story and be sure to tag @PizzaHutCanada and @BeyondMeat (with a post and a story each constituting one (1) additional entry, as applicable).

 

There is no limit to the number of entries per individual during the Contest Period, however no entrant will be eligible to win more than one Prize at any point. Odds of winning a Prize depend on the number of eligible entries received.

The failure to submit all required information in the manner required in these Official Rules may result in the disqualification of an entry, as determined by Sponsors in their sole discretion. All entries become the exclusive property of Sponsors and such entries will not be acknowledged. Proof of submission of an entry will not be deemed to be proof of receipt by Sponsors. All entrants, participants and entries are subject to verification by Sponsors, as are the eligibility, age and other claims of/information provided by an entrant or potential prize winner.  Any submission that does not comply with any aspect of these Official Rules, as determined by Sponsors in their sole discretion, may be rejected by Sponsors and the associated entrant disqualified.  Entrants will cooperate with Sponsors and their representatives in connection with any and all verification activities.

Sponsors are not responsible for computer or network problems, problems with servers, problems with accounts or the failure to receive any entry for any reason whatsoever.

Prize.

There are one thousand five-hundred (1,500) Prizes available to be won, each consisting of:  

  • One (1) medium The Great Beyond pizza with a retail value starting at approximately CAD$18 (each, a “Prize”).

 

 Approximate retail value of Prize is CAD$18-21 each.

 

Each Prize is non-transferable, non-assignable, non-negotiable, and not redeemable for cash or credit.  Prize must be accepted as awarded. Prize is awarded “AS IS” with no warranty, representation, or guarantee, express or implied, in fact or in law, made by Sponsors or for which Sponsors shall be liable, including, without limitation, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT OR FITNESS FOR A PARTICULAR PURPOSE. No prize substitutions, except by Sponsors, who reserves the right (but has no obligation) to substitute a prize (or a component thereof) with another prize of equal or greater value (including cash) if the prize (or a component thereof) is not available for any reason as determined by Sponsors in their sole discretion. All Contest winners are solely and fully responsible for any and all costs, delivery charges, fees, taxes, assessments and expenses associated with the Prize is awarded, redeemed, received and used. Non-compliance with any of the foregoing and any other condition of these Official Rules may result in disqualification and forfeiture of the Prize, in which case, no prize or other consideration will be awarded.

Prize Substitution.

Each Prize, as described above, is non-exchangeable, non-transferable, non-refundable, has no cash surrender value and must be accepted as awarded with no substitutions. Any unused portions of the Prize will be forfeited and will have no cash value, with no obligation on the part of the Contest Sponsors. The Contest Sponsors reserves the right, at their sole discretion, to substitute a Prize with (a) prize(s) of equivalent or greater value for any reason.

Prize Distribution.

Awarding of the Prizes is subject to verification and compliance with these Official Rules. No responsibility is assumed by the Contest Sponsors for a Prize after it has been shipped, if applicable. Contest Sponsors make no representations or warranties of any kind concerning the appearance, safety or performance of any Prize. The winners bear all risk of loss or damage to the Prize after the Prize has been shipped by the Contest Sponsors.

Random Draw.

A random draw swill be conducted by the Contest Sponsors or their agent by approximately 11:59PM on January 24, 2022 Contest Period (the “Draw Dates”) at Agnostic Public Relations., 33 Bloor Street E, #1020, Toronto, ON, M4W 1A9 from all eligible entries received. Selected entrants will be notified using the Direct Message feature on Instagram from @pizzahut within 12 hours of the draw.  Follow @pizzahutcanada to ensure the message does not end up in your request inbox.  Once selected entrants are confirmed as winners, as set out below, they will receive a coupon with a unique code to redeem for the prize.

 

Before being declared winners, the first 66 or 67 (as applicable) entrants who respond to the relevant post in each Contest Period, as the potential winners, will each be required to correctly answer, unaided, a mathematical skill-testing question administered over email or social media when the entrant is notified of being a potential winner by Sponsors or their agent, to be declared a winner of the applicable Prize.

To be declared a winner, each potential winner must first (a) within 10 days of being notified they have won, sign and return the Contest Sponsors’ form of Declaration of Compliance and Release which confirms compliance with these Official Rules and releases the Contest Sponsors, and their affiliated companies, agencies, Contest Entities (collectively, the “Contest Group”) from all liability with respect to participation in this Contest and the awarding, use, misuse and enjoyment of a Prize; and (b) have complied with, be in compliance with, and continue to comply with the Official Rules. Potential winners may be required to furnish proof of identification that may include a driver’s license or other form of picture identification as part of the verification process.

[To be confirmed as winners, the selected entrants  must correctly answer the mathematical skill-testing question in writing within [12] hours of such notification, without assistance of any kind, whether mechanical or otherwise and confirm their acceptance of the Prize, which includes a representation of compliance with the Contest Rules and agreement to release the Contest Entities from all liability with respect to participation in this Contest and the awarding, use, misuse and enjoyment of a Prize. The Sponsors reserve the right to disqualify any selected who does not confirm acceptance of the Prize or correctly answer the skill-testing question in accordance with these Official Rules, and reserves the right to award the prize to an alternate entrant upon acceptance.  The Sponsors may publicly announce the name of the winners within 30 days of the close of the Contest, including through Sponsors’ official social media channels, and you acknowledge and consent to same.]

Additional Conditions of Participation.

By participating in this Contest, each participant accepts and agrees to these Official Rules and all decisions of the Contest Sponsors (including employees, agents or independent contractors of the Contest Sponsors), which shall be final and legally binding on the participant in all matters relating to this Contest including, without limitation, eligibility and/or disqualification of participation.  Participants who have not complied with these Official Rules will be disqualified.

Tampering.

Any attempt by a participant or other individual to deliberately damage or undermine the legitimate operation of this Contest, including but not limited to any fraudulent claims, is a violation of criminal and civil laws. Should such an attempt be made, the Contest Sponsors reserve the right to seek remedies and damages from any such individual, to the fullest extent permitted by law, including criminal prosecution. Participants engaging in any of the foregoing activities may be disqualified and will forfeit any rights to a Prize. The Contest Group is not responsible for typographical or other errors in the offer or administration of this Contest, including but not limited to, errors in emails, bulletins, posters, advertising, the Official Rules, the selection and announcement of winners, distribution of a Prize or technical malfunctions of telephone network lines, computer online systems, servers or providers, computer equipment or software, viruses, bugs, failure of personal computers and/or software and hardware configurations, or failure of any email to be received by the Contest Sponsors or a participant for any reason including but not limited to traffic congestion on the Internet or at any website or combination thereof. The Contest Group does not warrant that the Contest will be uninterrupted or error-free.

Prohibited Content.

Entries must not violate the rights of any other party, including but not limited to intellectual property rights or rights of privacy, publicity or other moral rights. Entries must NOT contain or consist of: (a) advertising or commercial content for any party other than Sponsors; (b) content that endorses/promotes illegal or harmful activity; (c) violent, profane, vulgar, obscene, defamatory or otherwise objectionable material; (d) adult material; or (e) defamatory content. Sponsors reserve the right to disqualify any participant who violates these prohibitions or any other provision of these Official Rules, or that could damage the reputation, goodwill or business of Sponsors, as determined by Sponsors in their sole discretion. In such case, Sponsors may declare a different winner, again chosen by random draw. Your entry may not make unauthorized use of, or violate, any rights of any third party, and that, if necessary, you can provide proper permissions in a form acceptable to Sponsors.

By submitting an entry, the entrant represents and warrants that the submitted entry complies with all requirements of these Rules, and that the entrant will indemnify, defend and hold the Contest Entities harmless from and against any breach of such representation and warranty.

Consent and Grant of Rights.

By submitting an entry, entrants grant Sponsors a perpetual (or for the term of the protection granted by the relevant intellectual property rights), worldwide, irrevocable, royalty-free license to transform, edit, modify, reproduce, distribute, transmit, publish, broadcast, perform, display, or otherwise use the entry, in whole or in part, with or without modifications, in any form or medium (including but not limited to: internet, any printed medium distributed via press, billposting, point of sale advertising, flyers, leaflet, etc.), whether now existing or later developed, for entertainment, promotional and/or advertising purposes and/or any other purpose. To the greatest extent permitted by law, entrants agree not to invoke any so-called moral rights in relation to their entry (including, without limitation, the right to be identified as the creator of the work and the right to object to derogatory treatment of the work). For the avoidance of doubt, the license referred to in this paragraph is a fully paid-up license. By entering you agree to confirm in writing the license grant referred to in this paragraph as a condition of being selected as a winner. By entering, you guarantee that you have all necessary rights to provide the entry and to grant to Sponsors the rights set out in these Official Rules, as well as the consent of any person that may be identified, depicted or referred to in the entry. You will indemnify and hold Sponsors harmless for any breach of these provisions.

Liability Release.

Sponsors accept no responsibility for loss, damage or claims caused by the awarded prize or the Contest itself. By entering the Contest, all entrants forever release and hold harmless the Contest Entities and their employees, officers and directors from any and all liability for any injuries, loss, death, or damage of any kind arising from or in connection with the Contest or any prize won, subject to applicable law.

Without limiting the release of liability provisions herein, and for greater certainty, by entering and participating in the Contest each entrant acknowledges and agrees that  the Contest Entities will not be liable for: a) any incorrect or inaccurate information, communicated or published in connection with Contest by the Contest Entities, on or through the Website, these Official Rules or any promotional, marketing and advertising materials; b) the malfunction of any equipment or programming associated with or utilized in the Contest or by any technical or human error which may occur in the processing of entries in the Contest; c) any error, omission, interruption, deletion, defector delay in operation of the Contest or any transmission in connection with the Contest; d) any communications line failure, theft, destruction or unauthorized access to, or alteration of, entries; e) any problems with, or technical malfunction of, the Website, any telephone network or lines, computer on-line systems, servers or providers, computer equipment, software, or failure of email which may occur for any reason whatsoever, including technical problems or traffic congestion on the internet or at any website or combination thereof; or e) any injury or damage to entrants’ or to any other person's computer related to or resulting from participating or downloading materials in this Contest, ALL SUBJECT TO APPLICABLE LAW. Entrant agrees to further confirm all of the foregoing in writing upon request from Sponsors as a prior condition to receiving any prize.

Privacy and Data.

By entering this Contest and voluntarily providing certain personal information through the entry process (“Registrant Information”), entrants consent to the collection and use by Sponsors of the Registrant Information to (i) administer the Contest; and (ii) publicize, promote and advertise the Contest. Entrants also expressly acknowledge, agree and consent to the application of Sponsors’ Privacy Policy to the collection, use and disclosure of an entrant’s Registrant Information, including the sharing of an entrant’s Registrant Information with third party service providers and partners for the purposes of Contest administration and prize fulfillment and related publicity. Social Media Platforms.

This Contest is in no way sponsored, endorsed or administered by, or associated with Instagram or any other social media platform. Instagram and all other social media platforms are completely released of any and all liability by each entrant in this Contest. Any questions, comments or concerns about the Contest must be directed to the Contest Sponsors and not Instagram or any social media platform.

Interpretation and Disputes.

By participating in the Contest, all entrants declare that they have read, understood, complied and are bound by these Official Rules. All entrants further acknowledge and agree that all decisions by Sponsors are final and that they shall abide by such decisions.  The Contest and these Official Rules and any disputes pertaining thereto shall be governed by the laws of Ontario, and shall be resolved in the courts of Toronto, Ontario.

Miscellaneous.

The Contest is void where prohibited. If any provision or part-provision of these Official Rules is held by a court of competent jurisdiction to be invalid, illegal or unenforceable, it shall be deemed modified to the minimum extent necessary to make it valid, legal and enforceable. If such modification is not possible, the relevant provision or part-provision shall be deemed deleted. Any modification to or deletion of a provision or part-provision under this clause shall not affect the validity and enforceability of the rest of these Official Rules. To the extent permitted by applicable law, the Sponsors may modify the Contest Rules and may suspend, modify or terminate the Contest if it believes, in its sole discretion, that malfunction, error, disruption or damage is impairing or will impair the administration, security, fairness, integrity or proper conduct of the Contest, in which case the Prize will be awarded among the eligible entries received that were unaffected by the problem, if possible. Any attempt to by an entrant to deliberately sabotage or undermine the legitimate operation of the Contest is a violation of these Official Rules and of criminal and civil laws. Should such an attempt be made, Sponsors reserve the right to seek remedies and damages to the fullest extent permitted by law and may disqualify any entrant that is suspected of tampering with the operation of the Contest, in Sponsors’ sole and absolute discretion.
